Terms & Conditions

The software Plany is provided as a service through various packages in the Cloud operating model. Depending on the choice of package (hereinafter referred to as "Plany Software") used, this is the basic agreement between you or your business (hereinafter referred to as "You") and EPOPTIA Inc (hereinafter referred to as "Epoptia"). Part of the following agreement does not include the One-Off Purchase operating model. Any additional agreement reached between the companies may modify or supplement this agreement.

Services, Application

Plany software is a self-learning platform and is provided as a service through various subscription packages. The implementation of Plany software can be carried out by you or by Epoptia Partners, through an active partnership declared within the Plany software. Epoptia Partners are qualified professionals who implement and resell Plany software.

Limitations of liability

"This software is solely an aid/tool for the proper operation of the partner company. The company that makes the software available (EPOPTIA) is not responsible for the correctness, completeness and compliance with the applicable labour legislation of the data entered in it by the person responsible for the management of the software of each partner company. The company that makes the software available (EPOPTIA) shall not be liable to the partner companies in the event that they are fined under the applicable labour legislation due to incorrect / incomplete / late / non-compliant data entry by the software manager of each partner company. The sole responsibility of the company that owns the software is that of the proper functioning of the software and the server where it is installed, excluding any other responsibility towards the partner companies or towards third parties.

To use the Plany software, you need access to the Internet. The medium and means of accessing the Internet or local network are entirely your responsibility. A limited or partial connection does not guarantee the smooth operation of the Plany software and, consequently, the functional adequacy of the software.

Internet service problems or any connectivity issues you may experience due to your local network or Internet provider, which may affect the software, are not the responsibility of Epoptia.

The Plany software should only be operated and accessed by trained personnel. Epoptia is not responsible for the loss of data or settings in the following cases:

  • Access to untrained third parties
  • Access to unauthorised third parties
  • Incorrect handling
  • Deliberate misconduct

Epoptia shall not be liable for any damages or loss of profit or loss of data or interruption of business or business activities, directly, indirectly or even consequentially, or other damages that may result from the use or inability to use the Plany software, even if Epoptia has been informed of the possibility of such damages.

For its part, Epoptia has taken all possible precautions, both physical and procedural, to ensure the protection of all data in its possession in the context of preparing the product for the use of the Plany software.

In the event of any problem or dispute with Epoptia, you may be reimbursed at the end of the subscription period for any program you may use. In no event will Epoptia's total liability to you with respect to any program or service, whether direct or indirect, exceed the fees you paid for that program.

In cases where a private agreement or any other non-disclosure agreement (NDA) has been signed, the agreements between You and Epoptia will apply.

Billing methods, payments, cancellations, changes and refund policy

Plany software is provided as a service and the billing method is by subscription through various monthly or annual plans. Plany software is charged per user who has an active working relationship with you during the period of use.

At the end of the offered subscription period, you will be asked to renew your subscription to continue using it.

In order to activate any subscription plan, you are required to pay for it in advance.

The software automatically notifies you at least 1 week before your subscription expires for timely payment.

You can cancel your subscription at any time by indicating the end of the notifications. Epoptia reserves the right to change the subscription fee only for future versions of the software and only after consultation with you, will Epoptia proceed with the pricing of the Plany software. In case of expiration/cancellation of your subscription, you will continue to have access to your account for one year, without the ability to use the various features. At any time, you reserve the right to modify your plan at either a higher or lower price. When you change your subscription plan or cancel your subscription, Epoptia will take into account previous charges for which you did not spend the total purchased time and will then credit the corresponding amounts to your account.

Support, Updates, Releases, Features

Epoptia, which implements and offers the Plany software, is responsible for the correct and uninterrupted operation of the service. Any issues that may arise regarding the efficient and uninterrupted operation of the service are subject to technical support and Epoptia is obliged to start remedial work within 24 hours from the date and time notified. In cases of extension of the support contract beyond that offered by the use of the software, the current SLA (Service Level Agreement) support contract will apply.

Epoptia reserves the right to modify the terms and conditions, as well as the amount of the SLA subscription and, after consultation with you, will proceed with the pricing of the services.

For the Cloud operating model, Epoptia is responsible for the Server. For any other operating model that requires the Server to be installed on your premises, you are solely responsible for the Server.

As part of a valid subscription, Epoptia provides support for bug fixes through the ticketing system, access to the knowledge base and all new updates and features. Bug fixing is defined when a feature, or set of features, does not respond correctly than what is expected or described in the Plany knowledge base. For any other issue, such as handling or implementation, Epoptia provides the knowledge base and has a network of partners that you can contact. 

Epoptia Affiliates are permitted to provide you with Support services. In the exceptional case of a malfunction or problem that cannot be resolved remotely and requires the physical presence of an Epoptia representative at your location, a new financial agreement between Epoptia and you or any third party that may be involved will be required.

Due to the nature of the software, remote support covers any malfunctions. The peripheral equipment is simply the means by which users interact with the Plany software. In the event of equipment malfunction, they can be replaced immediately.

Disclaimer of guarantees

Epoptia guarantees the correct operation of the software. The use of the software is entirely your responsibility. Epoptia expressly disclaims all warranties, express or implied. Epoptia does not warrant that its services will be uninterrupted, timely, secure or virus-free with respect to their use. In consideration of your use of the service, tampering with any materials or downloading of any materials using the software is solely your responsibility and you will be solely responsible for any damage to your computer system, mobile phone or wireless device or data resulting from your use of the Epoptia service or downloading of any such materials.

Suspension & Termination

We reserve the right to modify the Terms of Use at any time. For your immediate information, you will receive an e-mail or the changes will be published on our official website.

If the modified terms affect you in connection with the Plany Software, you may terminate your use of the Plany Software. If you have been notified of any modifications to the Terms of Use and you continue to use the Plany Software, you are deemed to have agreed to them.

Restrictions of use

Subject to the terms and conditions of this Agreement, the following circumstances are inconsistent with Epoptia's license to you:

  • Transferring a license to a third party without Epoptia's knowledge.
  • Use of the Plany Software for illegal purposes and spamming.
  • Providing Plany software as your own product.

Contact

One of the services we provide is full information about announcements, systematic changes and messages, newsletters and more. Under our policy, you reserve the right to choose not to accept newsletters, but you are required to be kept informed of all other matters and may not opt out of receiving them unless you terminate your relationship with Epoptia.

BackUps

Epoptia keeps backups of your database for as long as you have a valid subscription and for at least 5 years.
